1. Introduction

Welcome to Ligimex ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our website located at ligimex.in ("Website") and the software development, consulting, and digital services we provide ("Services"). By accessing our Website or engaging our Services, you agree to be bound by these Terms.

2. Services

Ligimex provides custom software development, web application development, mobile application development, SaaS platform development, CRM and ERP solutions, healthcare IT solutions, e-commerce development, UI/UX design, and related technology consulting services. The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate project agreement or statement of work ("SOW") mutually agreed upon by both parties.

3. Engagement Process

All service engagements begin with an initial consultation to understand your requirements. Following the consultation, we will provide a detailed proposal outlining the scope of work, estimated timeline, and pricing. Work commences only upon written acceptance of the proposal and, where applicable, receipt of the agreed-upon advance payment.

4. Intellectual Property

Upon full payment of all fees associated with a project, all intellectual property rights in the custom software, code, designs, and deliverables created specifically for you under the SOW will be transferred to you, unless otherwise specified in the project agreement. Ligimex retains the right to use general knowledge, techniques, tools, and reusable components developed during the engagement in future projects.

5. Payment Terms

Payment terms, including deposit requirements, milestone payments, and final settlement schedules, will be defined in the project SOW. Unless otherwise agreed, invoices are payable within 15 days of issuance. Late payments may incur interest at the rate specified in the SOW or, if not specified, at the maximum rate permitted by applicable law.

6. Confidentiality

Both parties agree to treat all confidential information received from the other party with the same level of care used to protect their own confidential information. Confidential information includes, but is not limited to, business strategies, technical designs, source code, client data, and financial terms. This obligation survives the termination of any engagement.

7. Warranties and Limitation of Liability

Ligimex warrants that all Services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a defect-correction period as specified in the project SOW (typically 30 to 90 days post-delivery) during which we will address reported bugs at no additional charge. Beyond this warranty, Services and deliverables are provided "as is." To the maximum extent permitted by law, Ligimex's total liability for any claims arising out of an engagement shall not exceed the total fees paid by the client for that specific engagement.

8. Termination

Either party may terminate an engagement with 30 days' written notice. In the event of termination, the client is responsible for payment of all work completed up to the date of termination. Ligimex will deliver all completed work product upon receipt of outstanding payments.

9. Use of Website

You may use our Website for lawful purposes only. You agree not to use the Website in any way that could damage, disable, or impair the Website or interfere with any other party's use of the Website. The content on our Website, including text, graphics, logos, and images, is the property of Ligimex and is protected by intellectual property laws.

10. Third-Party Links

Our Website may contain links to third-party websites or services. Ligimex is not responsible for the content, privacy policies, or practices of any third-party websites. Access to any linked sites is at your own risk.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms or our Services shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or the courts of competent jurisdiction in India.

We reserve the right to update these Terms at any time. Changes will be effective upon posting to our Website. Continued use of our Website or Services after changes constitute acceptance of the revised Terms.
